In a Stunning Turn, Disney Settles Lawsuit Through Unexpected Merger

Our story begins in 2019 when Disney entered the streaming market with the launch of Disney+. The platform quickly became a powerhouse, expanding to over 120 countries. However, profitability proved elusive under former CEO Bob Chapek, although recent months have shown improvements.

Alongside Disney+, the company also owns ESPN+ and a majority stake in Hulu, making its streaming portfolio one of the most diverse in the industry.

In a bid to revolutionize sports streaming, Disney teamed up with Fox Sports and Warner Bros. Discovery to announce Venu, a platform promising unparalleled access to content from leagues like the NBA, MLB, NFL, and PGA.

While fans were excited, FuboTV—a competitor specializing in sports streaming—wasn’t. Claiming antitrust violations, Fubo filed a huge lawsuit and received a temporary injunction to halt Venu’s launch.

In a dramatic turn of events, Disney has resolved its legal battle with FuboTV in a way that few could have predicted. The conflict, which stemmed from a proposed merger between Disney, Fox Sports, and Warner Bros. Discovery for the ultimate sports streaming app, Venu, has now reached a surprising conclusion.

According to Variety, Disney has acquired a controlling 70% interest in FuboTV, ending the lawsuit and setting the stage for an intriguing future in the streaming industry.

 

Also under the deal, Fubo will create a new “sports and broadcasting service,” featuring Disney’s sports and broadcast networks. Disney is entering into a new carriage agreement with Fubo for the new tier that will feature networks including ABC, ESPN, ESPN2, ESPNU, SECN, ACCN and ESPNews as well as ESPN+.

In connection with the deal, Disney, Fox and Warner Bros. Discovery will make a cash payment to Fubo of $220 million. In addition, Disney has committed to provide a $145 million term loan to Fubo in 2026 as part of the transaction.

The Unexpected Resolution

The merger and lawsuit took a surprising twist with Disney’s acquisition of FuboTV. This deal grants Disney a 70% ownership stake while Fubo retains 30%, ensuring its brand identity remains intact.

As part of the agreement, Fubo will develop a new sports and broadcasting tier featuring Disney’s network offerings, including ABC, ESPN, and ESPN+.

In a statement shared with Variety, Disney’s executive vice president Justin Warbrooke expressed optimism about the merger:

“This combination will allow both Hulu + Live TV and Fubo to enhance and expand their virtual MVPD offerings and provide consumers with even more choice and flexibility. We have confidence in the Fubo management team and their ability to grow the business, delivering high-quality offerings that serve subscribers with the content they want and offering great value.”

If regulatory approval falls through, Fubo will receive an additional $130 million in compensation, underscoring Disney’s commitment to making the deal work.

What’s Next for Venu?

While this acquisition resolves the legal dispute, questions linger about Venu’s fate. Disney has remained tight-lipped on whether the sports app will move forward, and neither Warner Bros. nor Fox has commented on the merger.

For now, Disney appears focused on strengthening its streaming ecosystem, with Fubo playing a critical role in the company’s sports strategy. The acquisition not only settles a contentious lawsuit, but also positions Disney to compete more effectively in the ever-evolving streaming landscape.
